IPQS AI Services Addendum

This AI Policy (“Policy”) supplements the applicable IPQS master agreement, the IPQS Terms of Service at https://www.ipqualityscore.com/terms-of-service and/or a signed Master Services Agreement (the “Agreement”) between IPQualityScore LLC, a Florida limited liability company (“IPQS”), and the business and its authorized users accessing the AI Assistant (“Client” / “you”). Capitalized terms not defined here have the meanings given in the Agreement.
1. Scope; Incorporation; Precedence
1.1 This AI Policy is incorporated by reference into, and forms a binding part of, the Agreement and constitutes binding contractual terms. This Policy governs Client’s access to and use of IPQS’s AI-assisted tool, the “AI Assistant,” a conversational assistant that answers fraud- and risk-related questions, returns IPQS’s proprietary risk scoring, and provides similar AI/ML-assisted functionality (such as summaries, explanations, and suggested investigative steps). All content it generates is referred to as the “Outputs.”
1.2 The AI Assistant is a discrete tool and is not part of IPQS’s core Services, scoring APIs, or other products; this Policy does not modify the terms applicable to them.
1.3 Only what is stated in this Policy is specific to the AI Assistant; everything else is governed by the Agreement.
1.4 Incorporation. Except as expressly modified here, the Agreement applies in full to the AI Assistant and the Outputs, including its provisions on disclaimer of warranties, limitation of liability, indemnification, intellectual property and ownership, term and termination, governing law, venue, arbitration, class-action waiver, amendment, severability, entire agreement, and notices, and those provisions are not restated here.
1.5 Precedence. Solely as to the AI Assistant, this Policy controls over the Agreement to the extent of a direct conflict; otherwise the Agreement controls.
2. Acceptance; Eligibility; Business Use Only
2.1 Acceptance (account and non-account access). By registering for, enabling, accessing, or using the AI Assistant, or by uploading or submitting information to it, you agree to this Policy. Where access requires an account, acceptance occurs upon account registration or first enablement; where IPQS makes the AI Assistant available without an account, your access, upload, or use constitutes acceptance.
2.2 Business use only. The AI Assistant is for business and commercial use by businesses and their authorized personnel, and is not intended for consumers or personal, family, or household purposes. By using it, you represent and warrant that you are an authorized user acting on behalf of a business, in the course of that business, with authority to bind that business to this Policy and the Agreement.
2.3 No consumer relationship. IPQS is a business-to-business provider; use of the AI Assistant creates no consumer relationship, and IPQS does not sell products or services to consumers through it.
3. Nature of the AI Assistant; No Reliance
3.1 The AI Assistant uses artificial-intelligence and machine-learning technologies. The Outputs are probabilistic, machine-generated, and non-deterministic. Similar prompts or data may produce different Outputs, may be inaccurate, incomplete, outdated, or biased, are not human-generated, human-reviewed, or independently verified unless IPQS expressly states otherwise in writing, and may not perfectly reflect the underlying data or IPQS’s proprietary scoring or models.
3.2 The Outputs are informational fraud-prevention, cybersecurity, abuse-prevention, transaction-risk, and risk-intelligence signals for Client’s internal business use only. They are not a substitute for independent verification or human judgment, and do not constitute legal, financial, compliance, or other professional advice.
3.3 IPQS does not warrant that the Outputs will identify all fraud, abuse, or malicious activity, or correctly distinguish all legitimate activity, or that they will be error-free, uninterrupted, explainable, complete, or suitable for Client’s intended use. Client is solely responsible for evaluating the Outputs and for any action taken or not taken in reliance on them, and for maintaining appropriate human review, escalation, and override procedures.
4. Consequential Decisions; No FCRA Use; Human Review; Lawful Use
4.1 No FCRA use; no consumer reports. IPQS is not a consumer reporting agency, and the Outputs are not “consumer reports” under the Fair Credit Reporting Act. Client shall not use, or permit any third party to use, the AI Assistant or any Output to determine eligibility for credit, employment, housing, tenancy, insurance, government benefits, or any other FCRA-regulated purpose, unless IPQS has expressly agreed in a separate written agreement; and Client shall not represent that any Output is a consumer report or that IPQS has made any eligibility or adverse-action decision on Client’s behalf.
4.2 No sole automated decisioning. Where an Output is used as a factor in any decision producing a legal or similarly significant effect on an individual, including, without limitation, decisions materially affecting eligibility, access, pricing, or terms for account access, marketplace access, credit or lending, employment, housing, or insurance (each a “Consequential Decision”), Client shall: (a) not use the Output as the sole basis for the decision; (b) maintain meaningful human review; and (c) be solely responsible for compliance with all applicable laws.
4.3 Without limiting Section 4.2, Client is solely responsible for compliance with the Equal Credit Opportunity Act and Regulation B and adverse-action requirements, applicable fair-lending and anti-discrimination laws, and applicable laws governing automated decision-making, profiling, and artificial intelligence (such as the EU AI Act and emerging U.S. state AI and automated-decision laws), as and where applicable. Client shall not use the AI Assistant or any Output to discriminate unlawfully.
5. Processing; Local Hosting; Model Training
5.1 Local processing; no third-party AI. IPQS operates the AI Assistant on its own secure, dedicated infrastructure. Information submitted to the AI Assistant is not transmitted to, or processed by, any third-party artificial-intelligence or large-language-model provider, and is not used to train any third party’s models.
5.2 IPQS use. Subject to the Agreement, the DPA, and applicable law, IPQS may process Prompts, Client Data, usage data, metadata, feedback, Outputs, and related information to provide, secure, monitor, maintain, support, troubleshoot, and improve the AI Assistant and IPQS’s proprietary fraud-detection and risk-scoring models, algorithms, analytics, and detection methodologies, provided that IPQS will not disclose Client’s personally identifiable information or Client-specific confidential business information to unaffiliated third parties except as permitted under the Agreement or the DPA. Any use of Client Personal Data to train or improve IPQS’s models is limited to data that IPQS has de-identified or aggregated. IPQS’s use of anonymized and aggregated data is governed by the Agreement’s provision governing IPQS’s use of anonymized and aggregated data (Client Data).
5.3 Data protection. Processing of personal data through the AI Assistant is governed by the Agreement and the applicable Data Processing Agreement (and its jurisdiction-specific modules).
6. Client Inputs (Prompts); Representations; Prohibited Inputs
6.1 Information Client uploads or submits to the AI Assistant, prompts, queries, files, text, instructions, and feedback are “Prompts,” and are Client Data to the extent they contain Client Data or Personal Data. The AI Assistant is intended to process fraud and risk signals, primarily IP addresses, email addresses, phone numbers, device identifiers, and URLs or domains submitted for scanning. Client represents and warrants that it has all rights, permissions, consents, notices, and lawful bases necessary to submit the Prompts and have them processed as contemplated here.
6.2 Client shall not submit to the AI Assistant, unless expressly authorized by IPQS in writing and permitted under the applicable Order Form, DPA, and Documentation: children’s data, health information, payment-card data, government identifiers, biometric data, precise geolocation data, passwords or authentication credentials, or other special categories of personal data or regulated sensitive data; nor any content that is unlawful, infringing, or that Client lacks the right to submit; malware or malicious code; or any content or instruction intended to manipulate, “jailbreak,” prompt-inject, degrade, or interfere with the AI Assistant or its safeguards.
7. Restrictions; No Competing Use, Scraping, Benchmarking, or Extraction
7.1 This Section supplements the Agreement’s restrictions on use of the IPQS Services (API & Data Usage). Client shall not, and shall not permit any third party to:
- use the AI Assistant, the Prompts, or any Output to train, fine-tune, evaluate, benchmark, improve, or develop any artificial-intelligence or machine-learning model, database, scoring system, fraud-detection or identity-verification service, data product, or competing product or service;
- scrape, crawl, harvest, or otherwise extract data, Outputs, or content from the AI Assistant, except that Client may use its own Outputs as reasonably necessary for its permitted business use;
- extract, discover, reproduce, or reveal system prompts, model weights, embeddings, scoring logic, detection methods, source code, or other non-public components; or reverse engineer, decompile, or derive the same;
- create, publish, or disseminate any comparison, benchmark, or evaluation of the AI Assistant or IPQS’s models against any other product or model; or
- resell, sublicense, or make the AI Assistant available to any third party except as expressly permitted by IPQS in writing.
8. In-Product Disclosures
The AI Assistant may present notices that a user is interacting with an artificial-intelligence system and that Outputs are not professional advice or consumer reports. Such notices supplement, and do not replace, this Policy and the Agreement.
9. Incorporated Provisions (no duplication) + AI-specific risk allocation
9.1 Ownership/License, Warranties, Liability, Indemnification, and all general provisions are governed by the Agreement (the Agreement’s provisions on intellectual property and ownership, disclaimer of warranties, limitation of liability, and indemnification, together with its governing-law, dispute-resolution (including arbitration), and general provisions) and are not restated here. Outputs are “Content” as defined in the Agreement and are licensed to Client under the Agreement’s intellectual-property and license provisions for its permitted internal business use; nothing here grants Client rights in the AI Assistant or IPQS’s models, weights, scoring, prompts, system instructions, embeddings, or methodologies, all of which remain IPQS’s property.
9.2 AI-specific addition to the indemnity. Without limiting the Agreement’s indemnification provision, Client’s defense-and-indemnity obligation expressly extends to claims arising out of Client’s Prompts, Client’s use of the AI Assistant or Outputs, Client’s use of an Output in a Consequential Decision, and Client’s breach of this Policy.
9.3 AI-specific risk allocation. Without limiting, and in addition to, the Agreement’s limitation of liability (§10): (a) the Outputs are provided “as is” and used at Client’s sole risk; (b) IPQS has no liability for any decision made or action taken by Client or any third party in reliance on an Output, or for any inaccuracy, incompleteness, bias, false positive, or false negative in an Output; and (c) the aggregate liability cap and damages exclusions in §10 apply to all claims arising out of or relating to the AI Assistant and the Outputs, in the aggregate with all other claims under the Agreement (not as a separate cap).
10. Suspension; Changes; Availability
10.1 Suspension. IPQS may suspend or restrict access to the AI Assistant, in whole or in part, to prevent misuse, security risk, legal or regulatory risk, or harm to IPQS, its customers, data subjects, or third parties.
10.2 Changes. IPQS may modify, suspend, or discontinue the AI Assistant at any time, and may update this Policy under the Agreement’s amendment provision; continued use after an update constitutes acceptance.
11. Beta / Evaluation Services
Certain AI-Assisted Features may be offered on a beta, trial, or evaluation basis (each, a “Beta Service”) and are identified as such. Beta Services are provided “AS IS” and “AS AVAILABLE,” may be incomplete, may change materially, and may be withdrawn at any time without notice, and carry no availability, support, or service-level commitment. IPQS makes no warranties regarding Beta Services; Client uses them at its own risk; outputs may be less accurate or reliable than generally available Services and must not be relied upon as the sole basis for any decision. IPQS may collect and use feedback and usage data from Beta Services to develop and improve the Services. This Section applies only while a feature is designated a Beta Service and ceases to apply once the feature becomes generally available.
